Terms of Business & Website Use
The rules for using this website, and the core commercial terms that apply to our client engagements.
Effective date 31 August 2026
1. About these terms
These Terms of Business & Website Use are issued by Marketing Parasite Ltd, registration number CS ** 9** *4**, trading as Marketing Parasite.
They govern
- your use of marketingparasite.com; and
- the core terms on which Marketing Parasite Ltd provides services, except to the extent a proposal, statement of work, engagement letter or other written agreement expressly changes or supplements them.
If a specific client engagement document conflicts with these general Terms, the specific engagement document will take priority for that engagement to the extent of the conflict.
2. Our services
Marketing Parasite is a digital marketing and SEO agency serving businesses operating in Ghana.
Our work is digital only. We do not run or broker print, billboard or outdoor advertising, radio or television advertising, event or activation marketing, or physical direct mail.
Our services may include websites and conversion work, search engine optimisation, AI-search optimisation, digital PR, reputation management, paid-media management, email and SMS marketing, social-media marketing, AI-assisted video marketing, influencer marketing and other digital work agreed in writing.
The specific services for a client are the services set out in the accepted proposal or written scope. A service appearing on our website is not a promise that every client needs it or that it is included in every engagement.
3. Diagnose first; scope in writing
We do not publish a standard price or prescribe a fixed package before examining the business.
Where an engagement begins with our opening audit, the audit determines the written scope. Unless the engagement document states otherwise, the written scope is delivered within five business days of starting and states what we are doing, in what order, and what we expect the work to change.
The written scope is the measure against which our work is reported. It may also conclude that a proposed engagement is not justified or that the need does not fit the smallest engagement we are prepared to take. We reserve the right to decline work that we do not believe we can responsibly staff or justify.
4. No guaranteed marketing outcome
Marketing involves variables outside any agency’s control, including the client’s market, competition, product or service, website condition, pricing, customer behaviour, platform changes, budgets, approvals and response speed.
We therefore do not guarantee rankings, traffic, leads, revenue, profitability, return on ad spend, virality, inclusion in an AI answer, citations by an answer engine, or any other specific commercial or platform outcome unless an express written guarantee has been separately agreed and is legally capable of being given.
Where we state that search or digital growth typically requires sustained work, that is expectation-setting about the discipline, not a promise that a particular result will occur within a stated period.
Our commitments are to the agreed scope, the quality and timeliness of the work within our control, clear reporting and reasonable professional care.
5. Engagement models
Depending on the work, an engagement may be structured as
- a fixed-scope project;
- a monthly retainer;
- a project followed by a retainer; or
- an engagement that includes an optional performance-linked component where attribution, baselines, responsibilities and data access are sufficiently reliable and the component is recorded in writing.
A performance-linked component does not mean every fee is contingent on growth.
6. Proposals, acceptance and authority
A proposal or scope is valid for the period stated in it. An engagement begins when the parties accept the applicable written terms in the manner stated in the proposal, statement of work or engagement agreement.
Booking a growth call, sending an enquiry or receiving preliminary information does not by itself create a client relationship or require us to accept an engagement.
If you accept an engagement for a company or other organisation, you confirm that you have authority to do so or that the organisation will ratify the engagement in writing.
7. Client responsibilities
The client is responsible for
- giving us complete and accurate information reasonably required for the agreed work;
- providing timely access to websites, analytics, advertising platforms, business profiles, content systems and other client-owned accounts where access is part of the scope;
- obtaining any internal approvals needed for us to act;
- reviewing and approving material within a reasonable time;
- ensuring that claims, offers, prices, product information, customer information and other client-supplied content are accurate and lawful;
- ensuring it has the legal right to give us any data, content, brand assets, credentials, databases or other material it supplies;
- maintaining appropriate business, legal and regulatory approvals for its own operations; and
- cooperating sufficiently for the agreed work to be performed.
A delay, missing access or late approval on the client’s side may affect timing and results. We will raise material blockers rather than silently treating them as agency delay.
8. Fees and third-party costs
Our fees are stated in the accepted proposal, statement of work or engagement agreement. Unless that document states otherwise, fees are denominated in Ghana cedis.
Third-party costs belong to the client. Advertising spend, domains, hosting, software subscriptions, message credits, influencer fees, licences and other third-party charges are held and paid by the client directly to the relevant provider wherever reasonably possible. They are not part of our agency fee unless a written engagement document expressly says otherwise.
We do not mark up a client’s third-party media or platform spend merely by passing it through our account.
Invoice dates, payment deadlines, taxes and any approved reimbursable expenses are governed by the applicable engagement document or invoice.
9. Client-owned accounts
Accounts configured for a client (including analytics, search, advertising, business-profile and similar accounts) are configured on the client’s behalf and are not treated as agency property.
Where the relevant platform permits it, the client should hold the primary account and grant the access needed for us to perform the work. We may maintain administrator or specialist access during the engagement where required by the scope.
10. Initial term and notice
For an ongoing engagement subject to the standard minimum term
- the initial term is three months from the start date;
- after the initial term, the engagement continues month to month; and
- either party may end the engagement on 30 days’ written notice.
Notice given during the initial three-month term remains valid but takes effect no earlier than the end of the third month.
The minimum term binds both parties symmetrically. Marketing Parasite Ltd does not reserve a right to walk away during the initial term merely because the term binds the client.
A fixed-scope project ends in accordance with its written scope unless it is terminated earlier under an applicable termination provision.
11. Ending an engagement for breach or risk
Either party may have additional termination or suspension rights where the other commits a serious breach and fails to remedy it within a reasonable written cure period, where continuing the work would be unlawful, where required access or cooperation is persistently withheld, or where continued performance would expose a party to material security, regulatory or reputational risk.
Any immediate-termination right required by law or expressly stated in a client’s engagement document remains unaffected by the ordinary notice rule above.
12. What the client keeps at exit
At the end of the engagement, the client keeps
- every report produced during the engagement;
- all keyword research and audit documents produced for the client;
- all content drafted during the engagement;
- any tracking or analytics configuration created for the client; and
- administrator access to every client-owned account.
Client-facing documents are delivered as PDF by email, including content drafts. Markdown or other internal working formats are not client deliverables unless specifically agreed in writing.
For accounts that we configured or administered but never owned, administrator rights are transferred and the transfer is documented in writing. Nothing is deleted merely because the engagement ends.
This handover does not require us to transfer ownership of our pre-existing internal methods, general know-how, reusable templates, software, tools or third-party materials that were not created as client-owned property. Any additional intellectual-property ownership or licence terms will be stated in the applicable engagement document.
13. If an engagement ends mid-period
Where the client has paid a fee for the current period and the engagement ends before all of that period’s work has been performed, the refundable amount is calculated as follows
Fee paid for the current period, less
- work already delivered against the written scope; and
- third-party costs already committed on the client’s behalf.
Work already delivered and accepted is not refundable.
Marketing Parasite Ltd calculates the amount from the written scope, work completed and committed costs. We will issue an itemised written statement within 30 days of the engagement ending showing how the figure was reached.
Any refund due is paid within 14 days after the statement is issued.
If the calculation is disputed, both parties will first attempt in good faith to resolve the dispute within 14 days before taking any other step, without preventing either party from seeking urgent relief where legally necessary.
14. Subcontractors and specialist delivery
Marketing Parasite operates as a founder-led specialist network. We may use vetted subcontractors or specialists where the scope requires their skills or capacity.
We remain responsible to the client for managing the agreed delivery. We do not represent every specialist as a full-time employee.
Where a subcontractor receives client confidential information or personal data, we will require appropriate confidentiality, security, access and data-handling obligations consistent with the work they perform.
15. Confidentiality
Each party may receive confidential business, commercial, technical or operational information from the other.
A receiving party must use confidential information only for the engagement or another purpose authorised by the disclosing party, restrict access to people who reasonably need it, and protect it with reasonable care.
This obligation does not apply to information that is lawfully public, was already lawfully known without confidentiality duty, is independently developed without use of the other party’s confidential information, or must be disclosed by law or a competent authority.
16. Personal data in client work
Each party is responsible for complying with the data-protection obligations that apply to its role.
A client must not provide us with personal data that it has no lawful right to provide. Where we process personal data solely on a client’s documented instructions, the parties will enter into any data-processing terms reasonably required by applicable law and the nature of the processing.
We may refuse an instruction that we reasonably believe would require unlawful processing, deceptive tracking, unlawful direct marketing, purchase of personal data, incentivised or gated reviews, paid link buying, or another activity that conflicts with law or our written service rules.
17. Intellectual property and website content
The Marketing Parasite name, website copy, designs, graphics, brand assets, processes and other materials on this website are protected by applicable intellectual-property law and may not be copied, republished, traded, impersonated or commercially exploited without permission except as permitted by law.
Client deliverable ownership and licensing are governed by the applicable engagement document and the exit rights stated in these Terms.
A client confirms that it has authority to let us use the logos, content, photographs, data, trademarks and other materials it supplies for the agreed work.
18. Third-party platforms
Our services may depend on third-party platforms such as search engines, advertising systems, social networks, hosting providers, analytics services, email tools and scheduling services.
Those platforms control their own availability, policies, algorithms, approval processes, interfaces and enforcement decisions. We are not responsible for a third party’s independent outage, policy change, account restriction or decision where it is not caused by our breach of the agreed standard of care.
We will not knowingly promise control over a third-party platform that we do not possess.
19. Reasonable care and legal rights
We will perform our services with reasonable care and skill consistent with the agreed scope.
Nothing in these Terms excludes or limits any liability, warranty, remedy or statutory right that applicable law does not allow the parties to exclude or limit.
To the maximum extent permitted by law, neither party is liable to the other for remote, indirect or consequential loss that was not reasonably foreseeable when the engagement was entered into, except where a specific engagement document provides otherwise or the law does not permit that exclusion.
Any agreed aggregate monetary liability cap, indemnity or special risk allocation should be stated in the applicable engagement agreement.
20. Website use
You may use this website for lawful information and business-enquiry purposes.
You must not
- attempt to gain unauthorised access to the website, hosting, forms, accounts or connected systems;
- introduce malware, malicious code or automated abuse;
- scrape or extract content at a scale or in a manner that materially interferes with the website or infringes our rights;
- impersonate Marketing Parasite Ltd, its founder, staff, contractors or clients;
- use our name, logo or website content to mislead another person; or
- use the website to transmit unlawful, deceptive or abusive material.
We may take reasonable technical or legal steps to protect the site, our users and our rights.
21. Website information
Website content is general information about our business and services. It is not legal, tax, accounting or investment advice and is not a substitute for advice specific to your circumstances.
Service descriptions may change as our offering evolves. A client’s binding scope is the scope agreed in writing for that engagement.
22. Governing law and disputes
These Terms and any non-contractual obligations arising from them are governed by the laws of the Republic of Ghana, unless a specific written engagement agreement expressly states otherwise.
Before formal proceedings, the parties should make a genuine attempt to resolve a dispute through direct written discussion and, where appropriate, a meeting between decision-makers.
Subject to any mandatory law or agreed dispute-resolution process, the courts of competent jurisdiction in Ghana will have jurisdiction.
Where a client operates in Ghana but an owner, director or payer is located outside Ghana, that fact alone does not change the governing law unless the parties expressly agree otherwise in writing.
23. Notices
A notice to Marketing Parasite Ltd under these Terms, including ordinary termination notice, may be sent in writing to [email protected], unless the engagement document identifies a different legal-notice address.
A notice to a client may be sent to the authorised contact or notice address stated in the proposal, statement of work, invoice or engagement agreement.
24. Changes to these Terms
We may update these Terms for future website use or future engagements. A change will not rewrite a client’s already accepted engagement terms retrospectively unless the parties agree to the change or the law requires it.
The effective date at the top identifies the published version.
